Publisher Terms of Service

These Publisher Terms of Service (the "Terms") are a binding agreement between Advertstation LLC, the operator of the AdNexusIO affiliate network ("AdNexusIO", "we", "us"), and the person or entity that applies for or holds a publisher account ("Publisher", "you"). By submitting a publisher application or using the Service, you accept these Terms. If you accept on behalf of a company, you confirm you have authority to bind it.

1. The Service

AdNexusIO provides a contextual affiliate advertising service: you place our widget code on websites you own or control (each an "Approved Site"), we match affiliate offers to your page content, and you earn a share of the resulting revenue as described in Section 6.

2. Applications and approval

• All publishers must be approved before participating. We may approve or decline any application at our sole discretion, and may request additional information before deciding.
• You must provide accurate, current information in your application and keep it updated.
• You must be at least 18 years old and able to enter a binding contract.
• Approval applies to the specific site(s) reviewed. Adding the widget to a new site requires that site to be approved first.

3. Site and content requirements

Approved Sites must contain original, functioning content and must not contain or promote:

• Illegal content or activity of any kind;
• Sexually explicit or adult content;
• Violence, hate speech, harassment, or discrimination against any person or group;
• Malware, phishing, deceptive downloads, or software that harms users;
• Content that infringes intellectual-property or other third-party rights;
• Content directed primarily at children under 16;
• Misleading, plagiarized, auto-spun, or placeholder content created mainly to host ads.

4. Traffic quality — prohibited practices

Revenue depends on genuine reader interest. You must not generate or attempt to generate impressions, clicks, or conversions through artificial or manipulative means, including:

• Clicking your own ads, or asking or incentivizing anyone to view or click ads;
• Bots, scripts, click farms, paid-to-click schemes, traffic exchanges, or purchased "engagement";
• Auto-refreshing pages, auto-redirects, forced ad views, or requiring users to interact with ads to access content;
• Serving ads in pop-ups, pop-unders, hidden frames or iframes, zero-size elements, or on error pages;
• Modifying, obscuring, or interfering with the widget code, its "Sponsored" labeling, or our tracking;
• Misrepresenting your traffic sources or sending traffic that violates a destination merchant's own program rules.

We monitor for invalid traffic. Earnings attributable to invalid or prohibited activity are deducted or forfeited, and serious or repeated violations lead to account termination.

5. Required disclosures (FTC and similar rules)

AdNexusIO placements are commercial content. You agree to:

• Keep the "Sponsored" label our widget displays visible and unmodified;
• Maintain a clear, conspicuous affiliate disclosure on pages carrying our ads, consistent with the U.S. FTC Endorsement Guides and any equivalent rules in your market — see our Disclosure Guide for exact examples;
• Maintain a privacy policy on each Approved Site that accurately describes your site's practices.

5b. Third-party program rules

The offers we serve belong to third-party merchants and affiliate programs. Their rules bind your traffic as well as ours, and we may be required to identify you to a program on request. You agree that traffic you send:

• will not bid on a merchant's brand or trademark terms in any paid search or ad platform;
• will not use cookie stuffing, forced clicks, toolbars, browser extensions, or anything that overwrites another affiliate's attribution;
• will not use coupon, cashback, or loyalty incentives to trigger a purchase unless we have given you written permission for that specific merchant;
• will not misrepresent a merchant's prices, offers, or terms;
• will comply with any additional restriction we pass on to you from a merchant or network.

If a merchant or network withdraws permission for your site or reverses commissions because of how traffic was generated, the corresponding earnings are removed from your balance and we may suspend your account.

6. Revenue share, holds, and payouts

• Revenue share. You earn 70% of the net commission AdNexusIO actually receives from a merchant or affiliate program for a completed, confirmed purchase originating from your Approved Sites. "Net commission" means amounts actually received by us after the program's own reversals, refunds, and adjustments.
• Impressions and clicks are not payable on their own. AdNexusIO is a performance network: ad views and clicks are reported to you for transparency, but earnings arise only when a merchant confirms a qualifying sale. We do not pay per impression or per click.
• Protection window. Confirmed earnings become payable 30 days after the merchant confirms the sale, to allow for refund windows and fraud review. If the merchant later reverses the sale, the earning is removed.
• Payouts. Payable balances are paid on request from your dashboard once they reach the minimum payout of USD 50 (we may adjust this with notice). You are responsible for providing accurate payment details; we are not liable for delays caused by incorrect details.
• Reversals. If an affiliate program reverses or refuses a commission (for example, a refunded sale), the corresponding earnings are deducted from your balance.
• Taxes. You are responsible for all taxes on your earnings. We may require tax or invoicing information where the law demands it.

7. License and intellectual property

We grant you a limited, revocable, non-exclusive, non-transferable license to install our widget code on Approved Sites for the term of this agreement. You may not copy, modify, reverse-engineer, resell, or sublicense the Service. All rights in the Service, including the matcher, widget, dashboards, and branding, remain with Advertstation LLC. You retain all rights in your own site content.

8. Data protection

Each party will comply with applicable data-protection laws. Our practices are described in the Privacy Policy. The AdNexusIO widget does not set cookies or track visitors; you must not alter it to do so.

9. Term, suspension, and termination

• Either party may end this agreement at any time; you can close your account from the portal or by emailing us, and we may suspend or terminate accounts that violate these Terms.
• On termination you must remove the widget code from your sites.
• Validly earned, payable balances above the minimum are paid out in the normal cycle after termination, unless forfeited under Section 4 for fraud or prohibited activity.

10. Disclaimers

The Service is provided "as is" and "as available". We do not guarantee uninterrupted operation, specific fill rates, specific earnings, or the availability of any particular offer. Affiliate programs may change or withdraw offers at any time.

11. Limitation of liability

To the maximum extent permitted by law: neither party is liable for indirect, incidental, special, or consequential damages, or lost profits; and our total aggregate liability under these Terms is limited to the amounts we paid you in the six (6) months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnification

You will indemnify and hold harmless Advertstation LLC from third-party claims arising out of your sites, your content, your traffic practices, or your breach of these Terms.

13. Changes to these Terms

We may update these Terms. For material changes we will give publishers at least 14 days' notice by email or via the portal. Continuing to use the Service after the effective date means you accept the updated Terms.

14. General

These Terms are governed by the laws of the United States and the state of organization of Advertstation LLC, without regard to conflict-of-law rules. If any provision is unenforceable, the rest remains in effect. These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and us regarding the Service.
